1. Acceptance of These Terms

These Terms of Use (“Terms”) govern access to and use of the EzyTCM platform, website, and related services (“Services”).

EzyTCM is a practice management platform operated by EZY TCM Pty Ltd (“EzyTCM”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree, you must not use the Services.

If you are using the Services on behalf of a clinic or organisation, you represent that you are authorised to bind that entity to these Terms.

2. Description of the Services

EzyTCM provides a cloud-based practice management platform designed to support Chinese medicine and allied health practices, including features such as:

  • Appointment scheduling
  • Clinical record management
  • Billing and invoicing
  • User and role management
  • AI-assisted and automated workflow tools

The Services are provided as a software-as-a-service (SaaS) solution and may be updated, modified, or enhanced from time to time.

3. Eligibility and Professional Responsibility

The Services are intended for use by qualified health practitioners, clinics, and authorised administrative staff.

You are solely responsible for ensuring that:

  • You hold all required professional registrations, licences, and approvals
  • Your use of the Services complies with applicable laws, regulations, and professional standards

EzyTCM does not verify professional credentials and does not provide medical, clinical, or legal advice.

4. Account Registration and Security

To access the Services, you must create an account and provide accurate and current information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Ensuring that access is limited to authorised users
  • All activity that occurs under your account

You must notify EzyTCM promptly of any unauthorised access or suspected security incident.

5. Use of Patient Data

Clinics retain ownership and control of patient records entered into the platform.

EzyTCM acts as a service provider and processes patient data solely to provide the Services, in accordance with these Terms, our Privacy Policy, and applicable law.

You are responsible for obtaining all necessary patient consents and complying with privacy and health information laws.

6. Acceptable Use

You must not use the Services to:

  • Violate any applicable law or regulation
  • Infringe intellectual property or privacy rights
  • Upload malicious code or attempt to compromise system security
  • Access data belonging to another clinic without authorisation
  • Use the Services for unlawful, misleading, or unethical purposes

EzyTCM may suspend or terminate access for misuse or violation of these Terms.

7. AI and Automated Features

The Services may include AI-assisted or automated features.

You acknowledge and agree that:

  • AI features are intended to assist workflows only
  • AI outputs may be incomplete, inaccurate, or require professional review
  • Clinical judgment and decision-making remain your responsibility

EzyTCM does not guarantee the accuracy or suitability of AI-generated outputs.

8. Subscription, Fees, and Payment

Access to the Services may require payment of subscription fees.

  • Fees, billing cycles, and plan features will be disclosed at the time of subscription
  • Subscription fees are generally non-refundable except where required by law
  • Failure to pay fees may result in suspension or termination of access

EzyTCM may change pricing or plans with reasonable notice.

9. Service Availability and Support

EzyTCM aims to provide a reliable service but does not guarantee uninterrupted availability.

  • Scheduled maintenance may result in temporary downtime
  • Support is provided via designated support channels
  • Response times are not guaranteed unless expressly agreed

10. Intellectual Property

All intellectual property rights in the EzyTCM platform, including software, design, content, and branding, are owned by or licensed to EzyTCM.

You are granted a limited, non-exclusive, non-transferable right to use the Services during your subscription.

You must not copy, modify, reverse engineer, or resell the Services.

11. Third-Party Services

The Services may integrate with or rely on third-party services.

EzyTCM is not responsible for third-party products, services, or their availability, functionality, or security practices.

Use of third-party services may be subject to separate terms.

12. Suspension and Termination

EzyTCM may suspend or terminate access to the Services if:

  • These Terms are breached
  • Fees remain unpaid
  • Continued use poses security or legal risk

You may cancel your subscription in accordance with the applicable plan terms.

Upon termination, access to the Services will cease, subject to applicable data retention obligations.

13. Data Retention and Export

Data retention and deletion are governed by EzyTCM’s Data Retention & Deletion Policy.

You are responsible for exporting any data you require prior to termination, subject to platform capabilities and legal requirements.

14. Disclaimers

To the maximum extent permitted by law:

  • The Services are provided on an “as is” and “as available” basis
  • EzyTCM disclaims all warranties not expressly stated in these Terms
  • EzyTCM does not warrant that the Services will meet all requirements or be error-free
  • Certain features are subject to additional disclaimers as described in our Platform Disclaimer

15. Limitation of Liability

To the maximum extent permitted by law:

  • EzyTCM is not liable for indirect, incidental, or consequential loss
  • EzyTCM’s total liability is limited to the fees paid by you in the preceding 12 months

Nothing in these Terms excludes liability that cannot be excluded under Australian Consumer Law.

16. Indemnity

You agree to indemnify EzyTCM against claims, losses, or damages arising from:

  • Your misuse of the Services
  • Breach of these Terms
  • Violation of applicable laws or professional obligations

17. Changes to These Terms

EzyTCM may update these Terms from time to time.

Updated Terms will be published on the EzyTCM website and will take effect upon publication or as otherwise notified.

18. Governing Law

These Terms are governed by the laws of South Australia, Australia.

You submit to the exclusive jurisdiction of the courts of South Australia.
